Welcome to Suslify. These Terms and Conditions ("Terms") govern your access to and use of the Suslify platform, including our website (suslify.com), web application, mobile application and any related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Description of Service
Suslify ("Suslify," "we," "us," or "our") is a two-sided digital platform that connects individual donors ("Donors") with nonprofit organizations ("Nonprofits" or "Recipients") for the purpose of facilitating the donation of physical goods. Through the Platform, Donors may list items they wish to donate, and Nonprofits may browse, request, and arrange to receive such items.
Suslify is currently a personal educational project operated by Sana Udoekong, an individual, and is not yet a registered business entity. References to "we," "us," or "our" in these Terms refer to Sana Udoekong operating as Suslify.
Beta notice
The Platform is currently in beta and is provided for testing purposes. Features, functionality, and content may change, be added, or be removed without notice, and the Platform may contain bugs, errors, or incomplete functionality. By using the Platform during this beta period, you acknowledge and accept these conditions.
Important — what Suslify is not:
- ✗ Suslify does not buy, sell, take ownership of, or handle physical custody of any donated goods. The Platform serves solely as a connective and informational service between Donors and Nonprofits; all arrangements regarding pickup, delivery, condition, and transfer of donated items are made directly between the Donor and the Nonprofit.
- ✗ Suslify does not process, facilitate, or hold any monetary payments, and no financial transactions occur on or through the Platform.
The Platform may permit Nonprofits to share links to external fundraising campaigns (e.g., GoFundMe, crowdfunding pages, or similar third-party services). Suslify does not process, manage, or have any involvement in transactions occurring on third-party fundraising platforms, and is not responsible for the legitimacy, use, or outcome of funds raised through such external links. Users engaging with third-party fundraising links do so at their own risk and subject to that third party's own terms and policies.
2. Eligibility
You must be at least 18 years of age to create an account, list a donation, or otherwise use the Platform as a Donor. Nonprofits registering on the Platform must be legitimate organizations represented by an authorized adult representative. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
4. Platform Role; No Guarantee
Suslify is not a party to any donation transaction. We do not supervise, participate in, or take responsibility for in-person interactions, pickups, deliveries, or exchanges of goods arranged through the Platform. Donors and Nonprofits are solely responsible for arranging logistics, verifying item condition, and conducting themselves safely and lawfully during any exchange.
While Suslify takes reasonable steps to encourage legitimate use of the Platform by Nonprofits, we do not guarantee or independently verify the nonprofit status, legitimacy, or registration of every organization using the Platform yet. Donors are encouraged to perform their own due diligence before donating. Suslify makes no warranty regarding the quality, safety, legality, or condition of any item listed for donation.
5. Prohibited Activities
You agree not to use the Platform to:
- ✗ Advertise or offer to sell goods or services through the Platform.
- ✗ Sell or otherwise transfer your account profile to another person or entity.
- ✗ Process, accept, or facilitate monetary payments or financial transactions directly through the Platform's messaging, listing, or account features.
- ✗ Misrepresent your organization's status as a registered nonprofit or charitable entity.
- ✗ List items for donation that you do not own, possess, or have the right to give away, or misrepresent the condition, quantity, or nature of donated goods.
- ✗ List donations of items that are illegal, hazardous, recalled, expired, or unsafe for use.
- ✗ Engage in any conduct that is fraudulent, abusive, harassing, or that violates the rights of any other user.
- ✗ Request the deletion of your account or organization while you have active or pending donation transactions. All pending and in-progress transactions must be cancelled before an account or organization may be deleted.
This list is illustrative and not exhaustive. Suslify reserves the right to suspend or terminate accounts that violate these or any other reasonable platform policies.
6. User Content and Reviews
The Platform does not currently include a review or rating feature. If Suslify introduces the ability for Donors and Nonprofits to leave reviews or ratings of one another following a donation interaction ("Reviews") in the future, the following terms will apply: by submitting a Review, you grant Suslify a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that Review on the Platform. Suslify will not guarantee the accuracy, completeness, or truthfulness of any Review and will not be responsible for any Review submitted by a user. We reserve the right, but not the obligation, to remove or moderate any Review that violates these Terms or that we determine, in our sole discretion, to be abusive, false, or otherwise inappropriate.
7. Third-Party Links
The Platform may contain links to third-party websites or services that are not owned or controlled by Suslify. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Suslify shall not be liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such content, goods, or services available through such websites.
8. Intellectual Property; Copyright Complaints
All content on the Platform created by Suslify — including the Suslify name, logo, and platform design — is the property of Suslify and may not be used without permission. Users retain ownership of content they upload (such as listing photos and descriptions), but grant Suslify a license to display and use such content as necessary to operate the Platform.
If you believe content on the Platform infringes your copyright, you may notify us by providing: (a) a description of the copyrighted work you believe has been infringed; (b) a description of where the allegedly infringing material is located on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate. 9. Disclaimer of Warranties
10. Limitation of Liability
To the fullest extent permitted by law, Suslify's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed $100 USD. This limitation applies regardless of the legal theory on which a claim is based, and whether or not Suslify has been advised of the possibility of such damages.
Nothing in these Terms is intended to limit liability for personal injury or death to the extent such liability cannot be limited or excluded under applicable law. Suslify is not a party to, and assumes no responsibility for, the conduct of Donors or Nonprofits during in-person interactions, pickups, or exchanges arranged through the Platform.
In no event shall Suslify be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
11. Time Limit on Claims
Any cause of action or claim you may have arising out of or related to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
12. Dispute Resolution
12.1 Informal Negotiations
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, the parties agree to first attempt to resolve the dispute informally for at least 30 days before initiating arbitration. Either party may initiate informal negotiations by sending written notice to the other party describing the dispute.
12.2 Binding Arbitration
If the parties are unable to resolve a dispute through informal negotiations within thirty (30) days, the dispute shall be resolved through binding arbitration rather than in court, except that either party may bring an individual action in small claims court. Arbitration shall be conducted in the State of Illinois, United States, in accordance with the rules of a mutually agreed-upon arbitration organization.
12.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Illinois, without regard to conflict-of-law principles.
13. Business Transfers
In the event Suslify is involved in a merger, acquisition, financing, or sale of all or a portion of its assets, personal information may be shared with or transferred to the relevant third party as part of that transaction. We will notify users of any such change as required by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

3. Social Media Account Linking
The Platform may allow you to display links to your own social media profiles (such as Instagram, Facebook, or LinkedIn) on your account or organization profile. These fields are provided for informational display purposes only — the Platform does not authenticate, log in through, or exchange any data with these third-party platforms.
You are solely responsible for the accuracy of any social media links you choose to display, and Suslify is not responsible for the content, privacy practices, or availability of any third-party platform you link to.
